Asif H. Charania leads Keiter’s Valuation and Forensic Services practice. With more than 17 years of experience in financial consulting, Asif provides clients with deep expertise in business valuation, forensic accounting, and litigation consulting. A trusted advisor to business owners, attorneys, and corporate executives, Asif has led or supported more than 750 valuation and forensic engagements. He has qualified as an expert witness and has testified in both circuit court and arbitration.
Asif’s valuation work supports a wide range of needs, including buy/sell agreements; employee stock ownership plans (ESOPs); financial statement reporting (purchase price allocation and goodwill impairment); mergers and acquisitions; purchase/sale of a security; stock-based compensation; tax-related valuations for estate, gift and income tax. He also provides valuations in connection with stockholder disputes; divorce; and complex securities such as preferred stock, convertible preferred stock, options, warrants, and stock appreciation rights.
In his litigation consulting practice, Asif asssits clients and legal teams with strategic case development; analyzing industries and markets; evaluating liability issues; assisting with discovery; developing alternative theories of damages; quantifying economic damages (e.g., lost profits, unjust enrichment, reasonable royalty, diminution of value); preparing demonstrative exhibits for trial; preparing expert reports; and analyzing opposing experts’ damage models. Types of litigations in which he has served as a consultant include breach of contract, business interruption, fraud, intellectual property infringement (trade secrets, patents, copyrights, and trademarks), marital dissolution, post-acquisition disputes, professional malpractice, shareholder disputes, tortious interference, and wrongful termination.
Asif’s forensic accounting experience includes financial investigation experience includes related to employee embezzlement, management fraud, and investment schemes. He leads clients through all phases of the investigation process from planning and discovery to data analysis, damage quantification, and expert reporting.
